INTRODUCTION

The Snatter website ("the Website") is provided by Snatter Limited, company number 07114123, whose registered office is at Parker Cavendish, 28 Church Road, Stanmore, Middlesex, England HA7 4XR. "Snatter" is a trading name of Snatter Limited.

The Website enables retailers and merchants to offer discounts on their products and/or services, or to make other promotional offers, to prospective customers in return for those prospective customers posting a 'tweet' on Twitter or an update on Facebook incorporating certain pre-defined wording set by the retailer or merchant.

Set out here are the terms and conditions that govern your use of the Website ("the Conditions"). It is important that you read and understand the Conditions before you start to use this Website. You can print and keep a copy for your reference.

The Conditions contain terms and conditions applicable to (1) both retailers/merchants and prospective customers, (2) retailers and merchants only, and (3) prospective customers only.

Reference to "our", "us" and "we" in the Conditions and on the Website is a reference to Snatter Limited.

The Conditions (and all communications) are in English and governed by and will be construed in accordance with English Law and the English courts shall have jurisdiction in any legal proceedings.

DEFINITIONS

"Core Text" means the wording set by a retailer or merchant to be incorporated within a Post submitted by a prospective customer in return for its Promotional Offer.

"Post" means a 'tweet' on Twitter or a Facebook update.

"Promotional Offer" means the offer of a discount on one of its products or services (whether by provision of a code or voucher), or of a free gift or trial, made to a prospective customer by a retailer or merchant in return for the submission of a Post by that prospective customer.

The content of the Website is provided for information only, and does not constitute advice or a recommendation to you that the products and services provided or advertised on the Website are suitable for you in your circumstances.

Reasonable efforts will be made to keep the Website available for use; however access is not guaranteed to be available all the time. We will not be liable for any periodic unavailability of the Website.

Due to the nature of the Internet and the possibility of third party interference, the Website is not guaranteed to be free of all viruses and technical defects of any description. We will not be liable for any damage or loss caused as a result of your use of the Website.

If there are links from the Website to other websites operated by third parties, we do not guarantee you will be able to access the other websites via any link on the Website. We do not guarantee the content or accuracy of any third party's website, nor do we accept any responsibility for your use of that website.

Intellectual Property

Use of the Website and of the service provided on the Website is subject to the notices of ownership of intellectual property rights detailed from time to time on the Website.

All rights in the design, text, graphics and other materials on the Website, save for third party rights acknowledged by Snatter Limited, belong to Snatter Limited. Reproduction of part or all of the content of the Website in any form, save for third party content reproduced by that third party, is prohibited.

Software featured on the Website, save for third party software acknowledged by Snatter Limited is copyright Snatter Limited. Save for a third party acting in relation to their own software, you may not use (other than as is expressly or impliedly licensed), resell, reverse engineer, decompile or otherwise modify such software.

Other conditions

We shall not be liable for any failure to provide or delay in providing any service resulting from circumstances or events outside of our control, for example due to strikes and other industrial disputes, breakdown of systems or network access, fire or explosions, or power failure.

You acknowledge that the exclusions of liability on our part contained in the Conditions are reasonable having regard to our role and the fact that we make no charge for the service that we provide on the Website.

Telephone technical support will be available in accordance with the times advertised on the Website. You may contact the helpline on the number provided from time to time. Calls may be recorded for training and monitoring purposes.

If any part of the Conditions (and/or notices on the Website) is found to be invalid or unenforceable, then such part will be deemed replaced by a valid and enforceable provision that most closely matches the intent of the original part and the remainder of the provision shall continue in full force and effect.

We reserve the right to change the Conditions.

No forbearance or delay by us in enforcing any of the provisions in the Conditions will prejudice the rights, powers or remedies available to us; and such rights, powers or remedies will be cumulative.

You may not assign, subcontract or otherwise transfer any rights or obligations under the Conditions, whether in whole or in part, without our prior written consent. We shall be able to assign the benefit of all or part of the Conditions to any company or other entity which is from time to time a subsidiary or a holding company within the meaning of Section 1159 of the Companies Act 2006, or an associated body corporate within the meaning of Section 256 of the Companies Act 2006.

Headings in the Conditions are for convenience only and shall not affect their interpretation.

The Conditions represent the entire agreement between us and you shall not attempt to rely upon any prior understanding or representation, which may have been reached or made.

Complaints

We aim to please - but we know that sometimes things go wrong. If you have a problem or complaint we want to know. Subject as follows, most problems can be dealt with by sending an email to support-at-snatter.com or calling 020 3411 6994 (UK) / 1 818 665 7196 (USA). Where the complaint, however, is by a customer about a Promotional Offer, we will usually, in the first instance, refer the complaint to the retailer/merchant that made the Promotional Offer. In other cases, or if a customer is dissatisfied with the response received from the retailer or merchant, we will endeavour to investigate your complaint and respond to you as quickly as possible. We undertake to either deal with your complaint, or acknowledge its receipt and confirm the timescales for a full response, within three working days of receipt.

If you are not satisfied with the response to your complaint, you may send a further email for the attention of The Chief Executive Officer to info-at-snatter.com, with the reasons for your continued dissatisfaction. A separate and thorough review of your complaint will be conducted and a response sent directly to you.

Warranties

You warrant:

In the event that you are in breach of either of the above warranties, you shall, on demand, indemnify us and hold us harmless against any claims, losses, costs, expenses, liabilities, injuries or damages (including legal costs and expenses) arising from such a breach.

Promotional Offers

You agree that Promotional Offers made by you are offered to customers on your terms and conditions and that we have no responsibility therefor, or any liability in respect thereof. You shall, on demand, indemnify us and hold us harmless against any claims, losses, costs, expenses, liabilities, injuries or damages (including legal costs and expenses) in relation to, or arising from, a Promotional Offer made by you.

We may withdraw any Promotional Offer and any of your Content on the Website associated with it from the Website at any time and in our absolute discretion. Without fettering this discretion in any way, we will normally only take such action for cause; for example (by way of non-exhaustive illustration only), if we have reason to believe that you are in breach of either of the above warranties, or if we receive any complaint(s) or claim concerning a Promotional Offer or any of your Content on the Website associated with it.

Withdrawal of a Promotional Offer or any of your Content associated with it (whether with or without cause) shall not give rise to any liability on our part.

Licence

You grant us a non-exclusive, royalty-free licence to use your Content on the Website for the purpose of the service provided by us to you on the Website.

Responsibility for Promotional Offers

Promotional Offers are provided by retailers and merchants on their own terms and conditions. We do not endorse Promotional Offers, nor do we make any representation or give any warranty as to their accuracy or suitability for you in your particular circumstances, or that they comply with any laws, regulations or codes of practice relating to advertising, sales promotions or direct marketing that may apply where you are located. Retailers and merchants are entirely responsible for the Promotional Offers that they make, and we will accept no liability in respect of the same.

The provision to you by a retailer or merchant of goods or services pursuant to a Promotional Offer, and the terms upon which those goods or services are provided to you is a contractual arrangement between you and the relevant retailer or merchant. We will not have any responsibility or liability for the provision of such goods or services.

Any claim in respect of breach of contract or for negligence or in any other way for the provision or failure to provide such goods or services shall be against the relevant retailer or merchant.

Availability of Promotional Offers

Promotional Offers are made available to you subject to you having submitted a Post. In order to submit a Post, you will be required, through an application programming interface ("API"), to consent to Snatter having access to your data on Twitter or Facebook (as applicable). Snatter will only use such data in accordance with its data and privacy policy (see below).

You will be able to access details of the Promotional Offers that have been made available to you on the Website. You will be required to register for this service, for which purpose you will need to supply the following personal information: Your true name and email address. Once you have registered, you will be provided with a username and password, which will enable you to have secure access to the details of your Promotional Offers. The username and password is for your personal use only. You shall not permit any other person to use the same. We may cancel your username and password if you breach this provision.

Details of your Promotional Offers will be held on the Website only for as long as each Promotional Offer remains valid.

Data & privacy policy

We are committed to ensuring that your privacy is protected. This policy explains how we use the personal information we collect about you, how you can instruct us if you prefer to limit the use of that information and the procedures that we have in place to safeguard your privacy.
